AFFILIATE BOOSTED AND AFFILIATE BOOSTED PLUS PROGRAM TERMS AND CONDITIONS AGREEMENT


This Ayurasa Affiliate Program Terms and Conditions Agreement ('Agreement') is entered into between Ayurasa, a company organized and existing under the laws of India ('Company' or 'Ayurasa'), and the Affiliate who agrees to participate in the Program ('Affiliate'). This Agreement sets forth the terms and conditions governing the Ayurasa Affiliate Program.


ARTICLE 1: PROGRAM OVERVIEW


1.1 Program Structure. The Ayurasa Affiliate Program ('Program') consists of two tiers:

  • - Affiliate Boosted: A commission-based tier rewarding Affiliates based on monthly sales volume and conversion rates.

  • - Affiliate Boosted Plus: A higher tier offering additional bonuses based on cumulative sales.


ARTICLE 2: ELIGIBILITY

2.1 Requirements for Eligibility. To qualify for participation in the Program, the Affiliate must:

  • - Be at least 18 years of age.

  • - Possess a valid social media account with an authentic follower base.

  • - Exhibit professional conduct aligned with Ayurasa’s brand values.

  • - Not have been previously terminated from the Program.

ARTICLE 3: COOLDOWN PERIOD AND VIDEO ELIGIBILITY


3.1 Cooldown Period for Video Assessment. Upon submission, all videos will be subject to a 5-7 day evaluation period ('Cooldown Period') to assess performance against minimum criteria required for entry into the Affiliate Boosted tier.
3.2 Minimum Threshold Requirements. To qualify for entry into the Program, the video must meet the following performance criteria:

  • - A conversion rate of at least 1%.

ARTICLE 4: CONTENT QUALITY AND GUIDELINES
4.1 Quality Standards. Ayurasa reserves the right to reject any content that does not meet the Program’s quality standards. Content must include:

  • - High-quality visuals and sound.

  • - Clear, concise messaging that aligns with Ayurasa’s brand.

4.2 Content Guidelines. Affiliates are strictly prohibited from submitting content that includes:

  • - Adult or explicit material.

  • - Hate speech or content promoting illegal activities.

4.3 Right of Rejection. Ayurasa reserves the right to reject any content that fails to meet these standards.


ARTICLE 5: BRAND COMPLIANCE AND CONTENT RESTRICTIONS
5.1 Compliance with Brand Guidelines. Affiliates must adhere to Ayurasa’s approved messaging and claims and avoid any prohibited content as set out in Article 4.2.
 

ARTICLE 6: PAYMENT TERMS
6.1 Commission Payments. Commission payments will be processed monthly. Payments shall be made via bank transfer or other approved methods. Affiliates are responsible for all applicable taxes.
6.2 Additional Bonuses. Affiliates in the Affiliate Boosted Plus tier may be eligible for monthly bonuses, subject to sales verification
.


ARTICLE 7: PROGRAM TERMINATION
7.1 Termination Rights. Either party may terminate this Agreement at any time, with or without cause. Ayurasa reserves the right to terminate the Affiliate’s participation for any breach of these terms or consistent underperformance. Affiliates may voluntarily opt out of the Program upon providing 30 days’ written notice.


ARTICLE 8: RELATIONSHIP OF PARTIES
8.1 Independent Contractor Relationship. The Affiliate’s relationship with Ayurasa is that of an independent contractor. Nothing in this Agreement is intended to, or shall be construed to, create a partnership, agency, joint venture, or employment relationship between Ayurasa and the Affiliate.
8.2 No Authority to Bind. The Affiliate has no authority to bind Ayurasa in any manner. The Affiliate shall not make any representations or warranties on behalf of Ayurasa or take any actions that imply any relationship other than that of an independent contractor
.


ARTICLE 9: OWNERSHIP AND RIGHTS TO CONTENT
9.1 Assignment of Rights. By submitting content to Ayurasa, Affiliates grant Ayurasa a non-exclusive, royalty-free, perpetual, and worldwide license to use, reproduce, modify, adapt, publish, translate, create derivative works, distribute, and display such content in any media, including for marketing purposes.

ARTICLE 10: REFUND AND CHARGEBACK POLICY
10.1 Impact of Refunds and Chargebacks on Commissions. If any product sales generated through the Affiliate’s referrals are later cancelled, Ayurasa reserves the right to adjust the Affiliate’s commission to account for such transactions.
10.2 Commission Adjustment. Any commissions already paid on cancelled sales may be deducted from future commission payments to the Affiliate.


Acknowledgement: By participating in the Ayurasa Affiliate Program, you acknowledge that you have read, understood, and agree to these terms and conditions. Continued participation constitutes acceptance of these terms.
